Sothema announces a dual capital increase

Sothema is set to increase its capital by 20.33 million dirhams through the issuance of 406,728 new shares, each with a nominal value of 50 dirhams. This operation will include a total contribution premium of 610.09 million dirhams, fully funded through a non-cash contribution from Capmezzanine III and Abdellaziz Razkaoui, corresponding to 12,046 ordinary shares of Soludia Maghreb. A modification to Article 6 of the company's bylaws will be made, contingent upon the successful completion of this operation. Additionally, a second capital increase of up to 80 million dirhams (including the issuance premium) will be conducted in cash. The shares, also with a nominal value of 50 dirhams, will be issued at a price ranging from 1,450 to 1,500 dirhams per share. This issuance will occur with the waiver of preferential subscription rights, benefiting the executives of Sothema and its subsidiaries, in accordance with the provisions of Law No. 17-95 relating to public limited companies.
