Sothema finalizes the acquisition of Soludia

Sothema has announced the closing of its acquisition of 99.99% of the capital of Soludia Maghreb ("Soludia"). This transaction was executed through two main actions: first, the acquisition of shares from Soludia's shareholders, including Mr. Abdellaziz Razkaoui, Cap Mezzanine III (a fund managed by CDG Invest Growth), and the Zine family. Second, there was a capital increase for Sothema, which involved contributions from Mr. Abdellaziz Razkaoui and Cap Mezzanine III in the form of a portion of the shares they hold in Soludia. The total amount for the aforementioned capital increase was 630,428,614.60 dirhams, including the contribution premium. The prospectus related to Sothema's capital increase in kind received approval from the Moroccan Capital Market Authority on December 9, 2025.
