Risma's Acquisition of the "Gueliz Multifunctional Center" Notified to the Competition Council

The Competition Council has been notified of an economic concentration operation involving Risma SA's exclusive control over Gueliz Multifunctional Center SA. This control is achieved through the acquisition of 100% of the company's share capital and voting rights. This notification marks one of the final steps before the completion of the transaction. On July 18, 2025, RISMA, as the acquirer, signed a sale and purchase agreement with RESIDENCE SIYAHA 2 and CAP ESTATE, the sellers. The agreement involves the acquisition of all shares of the Gueliz Multifunctional Center (CMG), which owns the premises of the five-star "Radisson Blu Hotel Marrakech Carré Eden" and the "Carré Eden Shopping Center." The enterprise value of the company has been established at 931 million dirhams. After deducting net debt, the acquisition amount totals 524 million dirhams. This acquisition aligns with RISMA's external growth ambitions and development plan. The parties aim to finalize the transaction in September 2025.
