The sale of HPS's Testing division, Acpqualife, aligns with the Group's strategic plan, AccelR8. This move aims to concentrate resources and investments on HPS's core business of payment solutions and to enhance its growth trajectory. The Testing division, which had significantly lower growth and margin prospects compared to other Group activities, will find a more favorable development environment within Synanto. As part of this transaction, all customer and supplier contracts associated with the Testing activity, the Acpqualife name, and the relevant employees will be transferred to Synanto, ensuring business continuity and providing new growth opportunities for the teams. Operations in France related to the Group's other activities will remain unchanged and will continue to be strengthened in line with the AccelR8 growth plan. Synanto is a rapidly growing French Digital Services Company (ESN) with over 250 employees and an annual revenue of 25 million euros. Its decentralized and entrepreneurial operating model, based on local agencies across several French regions, as well as in Luxembourg and Tunisia, promotes autonomy, customer proximity, and talent development. For more than 15 years, Synanto has served prominent clients across various sectors, with a dominant expertise in Banking, Finance, and Insurance. Abdeslam Smaili Alaoui, CEO of HPS, stated, "This sale marks an important step in implementing our AccelR8 strategic plan. It allows us to reinforce our focus on payments while providing the Testing division employees with new opportunities within a company that prioritizes talent and proximity." Norton Rose Fulbright is serving as legal counsel for HPS. The terms of the acquisition have not been disclosed. The transaction is subject to customary regulatory conditions and is expected to be finalized in the coming months.
